The Operator will receive additional advertising revenue from the MediaCity/Excite partnership. € The Operator will have the ability to sell local advertising through the MediaCity/Excite partnership. MediaCity will be responsible for the purchase of all subscriber cable modems. € At a minimum, each subscriber location will need one cable modem. € One modem can usually handle up to 15 users (ISP Channel Business Plus). € With MediaCity's volume purchasing power, we are generally able to secure modem prices in the range of $199-$299, depending on the manufacturer. € Unlike cable converter boxes, we recommend having the subscriber pay for the cable modem up-front, as is done in all other areas of Internet access (analog 28.8, ISDN, etc.). € In cases of poor market penetration, we will usually consider some type of lease or financing program after a period of time. ISP Channel Sales Support € MediaCity is responsible for all costs associated with ISP Channel Sales support. € ISP Channel Sales Representatives will handle all aspects of the sales process including informational, pre-sales and technical sales calls via our nationwide toll-free number. ~ ISP Channel Subscriber Installations _~ € Once the subscriber's location has been evaluated as working and supporting an additional outlet for the ISP Channel equipment, our installer will complete the process with no additional Operator involvement. € During the installation, ISP Channel subscribers will receive a customized ISP Channel Microsoft Internet Explorer CD with all necessary backup software at ~.~ no cost. € Subscribers will be provided any additional equipment necessary to complete the installation (e.g. Ethernet Card) usually, at no charge. € The Operator is responsible for the initial inspections on all ISP Channel subscriber locations. € This allows for additional onetime and recurring Operator revenue as well as insuring satisfactory ISP Channel conditions. °~ T~p Channel Billin~ € The Operator is responsible for all ISP Channel billing and collections. € Upon successful installation of each ISP Channel subscriber by the ISP Channel Installer, the Operator will be notified to commence billing. The ISP Channel service is completely compatible with popular billing services such as those provided by CableData. € The Operator is not responsible for payment to MediaCity on delinquent accounts. ISP Channel Technical Support € MediaCity is responsible for all ISP Channel related technical support issues. € ISP Channel subscribers calling our nationwide toll-free number will be professionally assisted by ISP Channel Technical Support Representatives with extensive Internet/cable training and experience. The Operator will be continue to be responsible for the entire cable plant and for insuring that the plant is providing a suitable environment for the ISP Channel service. °~ ISP Channel Agreement Term € The standard term of the ISP Channel Agreement is 36 months. € This allows sufficient time for both parties to realize the great revenue potential of the ISP Channel, and allows MediaCity a period in which to fully amortize its capital investment. Exit strategies at the end of the Agreement Term are flexible. Some possibilities are: Agreement renewal, Operator purchase of headend equipment, ISP Channel franchise rights, assistance with an in-house operation, or complete removal of all equipment and termination of any obligations. °~ ISP Channel Revenue Sharing Agreement € The ISP Channel is a revenue sharing service providing profits to the Operator that would be difficult to obtain even if the Operator were to attempt a similar service "in-house." € MediaCity's standard revenue sharing pays the Operator 50% of all ISP Channel revenue (setup and monthly) after the first 200 subscribers. € The first 200 subscribers are at a 75/25% split in favor of MediaCity to help offset our basic costs. € In comparison to other similar services, MediaCity requires no equity stake in the company, offers a variety of other complimenting telecom products and services to bring additional revenue to the Operator, and has capital available for plant improvements and other revenue generating ventures.
