Chief Executive Officer

David Prokupek is the CEO of Cleary Gull and is actively involved in the firm's investment banking, investment management and capital market activities. Mr. Prokupek is also a member of the firm's Board of Directors, Management and Investment committees. Prior to joining Cleary Gull, Mr. Prokupek was a Managing Director at American Asset Management, a New York investment counselor and merchant bank and prior to that, a member of Bankers Trust Company's Merchant Banking Group. Mr. Prokupek has over 12 years of investment banking experience completing over 100 transactions with values in excess of $10 billion including mergers and acquisitions, leveraged buyouts, public stock offerings and private equity and debt placements. Mr. Prokupek is involved as a principal and Board member of companies in retailing, communications and distribution. Mr. Prokupek received his MBA from the J.L. Kellogg Graduate School of Management at Northwestern University and graduated with a BBA in Finance from the University of Wisconsin.

John Peterson is the head of the Cleary Gull Investment Banking group and a member of the firm's Management Committee. Mr. Peterson has represented buyers, sellers, lenders, investors, intermediaries, executives and owners of privately and publicly held businesses in over 100 transactions including mergers and acquisitions, public offerings, private placements of debt and equity, senior credit facilities, management and leveraged buyouts, joint ventures and strategic alliances. For 13 years prior to joining Cleary Gull, Mr. Peterson practiced corporate law and was a shareholder in the Milwaukee, Wisconsin law firm of Godfrey & Kahn, S.C. He is a member of the Board of Directors of companies in the manufacturing and paper industries, as well as civic and community organizations. Mr. Peterson received a BA in accounting from Michigan State University, received a CPA certification in Illinois and received his JD from the University of Wisconsin.

Chris Barnes joined Cleary Gull in 1994 after receiving his MBA from the J.L. Kellogg Graduate School of Management at Northwestern University. Prior to business school, Mr. Barnes worked at Lehman Brothers in the Natural Resources Group. Mr. Barnes has over eight years of investment banking experience completing a variety of transactions including public stock offerings, spin-offs, mergers and acquisitions, fairness opinions, defense assignments, tender offers and recapitalizations. Mr. Barnes graduated from Texas A&M University and spent one year with Arco Oil & Gas as an offshore drilling engineer.

Ajoy Bose joined Cleary Gull in August 1996 from Salomon Brothers in New York. At Salomon Brothers, Mr. Bose was responsible for developing investment banking business in the mid-capitalization sector across a breadth of industries, with a particular focus in the energy and industrial sectors. His transaction experience includes LBOs, M&A assignments, restructurings and high yield, equity and private placement transactions totaling over $5 billion in transaction value. Mr. Bose received his MBA in Finance from the Bernard N. Baruch Graduate School of Business in New York and also received his post-Masters in taxation from the Leonard N. Stern Graduate School of Business at New York University. Mr. Bose received his CPA certification in 1991 and completed his CFA in June 1996.

Since joining Cleary Gull in l991, Joe Hickey has directed many public and private financing transactions and financial advisory projects for corporate clients in a variety of industries. Mr. Hickey is also the Equity Syndicate Manager and is responsible for coordinating Cleary Gull's participation in initial and secondary public offering underwriting and selling groups Prior to joining Cleary Gull, Mr. Hickey spent seven years in the Corporate Finance at Blunt Ellis & Loewi where he concentrated on public equity underwriting and private placement activities. He received his MBA in Finance from the University of Wisconsin and graduated with a BS degree in Economics from the University of Wisconsin.

Since joining Cleary Gull in 1993, Ron Miller has been active in numerous financing and advisory assignments. Prior to joining Cleary Gull, Mr. Miller spent three years at First Chicago Corporation, primarily focusing on corporate coverage of middle market businesses. Mr. Miller was previously employed by Morgan Stanley, where he spent two years structuring financings for major corporate clients. His experience includes structuring more than $5 billion of acquisition financings, debt and equity placements and asset-backed securities for both public and private companies. Mr. Miller received a MBA from the J.L. Kellogg Graduate School of Management at Northwestern University, and graduated from the University of Pennsylvania with a BA in History from the College of Arts and Sciences and a BS in Economics from the Wharton School of Management.

Doug Gessl joined Cleary Gull in 1997 from Nesbitt Burns where he was a Director in the Mergers & Acquisitions group. At Nesbitt Burns, Mr. Gessl was actively involved in a variety of mergers and acquisitions and financial advisory assignments primarily with middle market companies. Prior to joining Nesbitt Bums, Mr. Gessl spent seven years at the First National Bank of Chicago structuring and marketing private placements and structuring acquisition and other leveraged financings. Mr. Gessl holds an MBA in Finance and Intemational Studies from the University of Chicago and is a graduate of the University of Wisconsin, with a BBA in Finance.

John Walbaum joined Cleary Gull in December 1996 from Mesirow Financial, Inc., where he was a Vice President in the Corporate Finance Department. At Mesirow he worked on a wide variety of mergers, acquisitions, faimess opinions and public offerings. Prior to that, Mr. Walbaum was with BDO Seidman Corporate Finance, where he specialized in private placements and recapitalizations. He began his career with Merrill Lynch & Co. in 1989 in its middle-market M&A group. Mr. Walbaum has an MBA from the University of Illinois and a BS in Journalism from Southem Illinois University.

Prior to graduate business school, he worked five years as a corporate tax consultant for Price Waterhouse LLP in Washington, D.C. and Indianapolis. His financial advisory experience also includes M&A and leveraged buyouts. Mr. Guy obtained his CPA license in 1992 and graduated with a BA in English Language and Literature from the University of Virginia in 1990.

Mr. Ruben received a BS in Accounting from the University of Illinois and is a CPA. Mr. Ruben received his MBA in Finance and Corporate Strategy from the University of Michigan.

Amy Steffek joined Cleary Gull in 1997 from Miller Brewing Company where she was a financial analyst in Corporate Strategy and Global Business Development. While at Miller, Ms. Steffek's responsibilities included the development of competitive analysis, industry analysis, long range strategic planning and annual operating budgets. Ms. Steffek received her BS in Finance from the University of Wisconsin.
